Terms & Conditions for JIITII

These Terms and Conditions ("Agreement") govern your access to and use of the JIITII platform, a digital record-keeping service for transactions involving digital devices ("Service"). By accessing or using the Service, you agree to comply with and be bound by this Agreement, along with any additional terms and policies referenced herein. If you do not agree to these terms, you are prohibited from accessing or using the Service.

1. Definitions

For the purposes of this Agreement:

• “User”, “you”, and “your” refer to the individual or entity accessing the Service.
• “JIITII”, “we”, “our”, and “us” refer to the owners and operators of the Service.
• “Service” refers to the record-keeping platform, which allows Users to create, store, and manage digital agreements related to the buying, selling, and transaction of digital devices.
• “Platform” refers to the JIITII mobile application, website, and any related services.

2. Acceptance of Terms

By accessing or using the Service, you confirm that you have read, understood, and agreed to be bound by the terms of this Agreement. If you do not agree to any of these terms, you must discontinue use of the Service immediately. JIITII reserves the right to modify, update, or amend this Agreement at any time. Any such changes will be posted to the Service or sent to you via email, and they will become effective immediately upon posting or notification. Continued use of the Service following such changes constitutes acceptance of the revised terms.

3. User Eligibility

To use the Service, you must be at least eighteen (18) years of age or the legal age of majority in your jurisdiction. By using the Service, you represent and warrant that you are at least 18 years old, possess the legal capacity to enter into binding contracts, and agree to abide by the terms and conditions set forth herein.

4. Registration and Account Management

• Account Creation: To use the Service, you must create an account. During the registration process, you are required to provide accurate, current, and complete information, including your name, contact details, and payment information, as applicable. You agree to update your account information promptly to maintain its accuracy.
• Account Security: You are responsible for maintaining the confidentiality of your account credentials, including your password. You agree to immediately notify JIITII of any unauthorized access or use of your account. JIITII shall not be liable for any loss or damage resulting from your failure to comply with this obligation.
• Access Rights: Upon registration, JIITII grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service in accordance with this Agreement. You agree not to reverse engineer, decompile, or otherwise attempt to access the source code or underlying components of the Platform.

5. Service Usage

• Record Keeping and Transactions: JIITII provides a platform for Users to record and manage digital device transactions. You may upload and store device details, transaction records, and digital agreements related to buying or selling digital devices.
• Agreement Copy: Upon creation of a transaction, a digital agreement is generated. Users can download a copy of the agreement from their email or directly from the app. However, JIITII is not liable for any misinformation provided by either party in the agreement. The platform simply facilitates the creation and storage of the digital agreement for record-keeping purposes.

6. Legal Disclaimer

• No Liability for Disputes: JIITII is a record-keeping platform and does not represent either party in the transaction or serve as a party to the agreement. JIITII does not assume any liability or responsibility for disputes, claims, or legal matters arising out of the buying, selling, or transaction of any device. Should a dispute arise between the parties involved in the transaction, JIITII shall not be held liable for any consequences, including but not limited to court cases, police actions, or any legal procedures. JIITII is not a third party in any legal dispute related to the sale or purchase of the device, nor will it participate in any dispute resolution process.
• Platform’s Limited Role: The Platform’s involvement is strictly limited to providing an intermediary service for facilitating the transaction. JIITII does not own, inspect, or guarantee the condition, legality, authenticity, or functionality of the devices involved in the transaction. JIITII does not endorse, verify, or assume any responsibility for the information or content provided by the Buyer or Seller in connection with the transaction.
• Indemnification: The Buyer and Seller agree to release, indemnify, and hold JIITII harmless from any and all claims, damages, losses, liabilities, or expenses arising from the use of the Platform or any transaction, including but not limited to legal disputes, claims of fraud, defects in the device, or any violation of applicable laws.

7. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of Chandigarh.

8. Entire Agreement

This Agreement constitutes the entire agreement between the parties and supersedes all prior negotiations, understandings, and agreements, whether written or oral. No amendment or modification of this Agreement shall be valid unless made in writing and signed by both parties.

9. Assignment

This Agreement may not be assigned by either party without the prior written consent of the other party.

10. Counterparts

This Agreement may be executed in counterparts, each of which shall be deemed an original, but both of which together shall constitute one and the same instrument.

11. Notices

All notices and other communications under this Agreement shall be in writing and shall be deemed given when delivered in person or sent by registered or certified mail, return receipt requested, addressed to the Parties at the addresses set forth in this Agreement.

12. Binding Effect

This Agreement shall be binding upon and inure to the benefit of the Parties and their respective successors and assigns.

13. Waiver

The waiver by either Party of a breach or default of any of the terms and conditions of this Agreement shall not be deemed a waiver of any other breach or default thereof or of any other term or condition of this Agreement.

14. Agreement Copy

Users may download the finalized agreement from the Platform, either via email or from the app. However, JIITII assumes no responsibility for the accuracy or completeness of the content, and the platform is not liable for any misrepresentation or misinformation provided by the parties involved in the transaction. Users are encouraged to independently verify the terms of their agreement prior to finalizing the transaction.

By using JIITII, you acknowledge and agree to the Terms and Conditions as set forth above.
